Exhibitor, for itself, its employees, officers, directors, agents, licensees, invitees, patrons, guests, and contractors (hereinafter collectively referred to as "exhibitor") covenants and agrees to fully defend, protect, indemnify and hold harmless Truck Club Publishing, Inc. DBA. Truckers Wanted (hereinafter referred to as "Truck Club Publishing Inc.") from, but not limited to: injury or death of persons, loss or destruction of or damage to properties, including the conversion thereof caused by, or resulting in any manner, from any and all acts and/or omissions, negligent or otherwise of the Exhibitor, arising out of and/or related to exhibitors rental, lease, management, possession and control of Exhibitors booth, advertising and related activities.
Exhibitor hereby releases, remiss, acquits, and forever discharges Truck Club Publishing Inc. from any and all liability, claims, demands, actions, causes of actions, costs, expenses, attorney fees, obligations, and rights (contingent, accrued, inchoate, or otherwise) without limitation which arises from exhibitors lease, management, possession, and control of Exhibitor booth, advertising, and related activities.
Exhibitor hereby agrees to comply with the terms and conditions of this agreement as set forth on pages 3 of 5, through 4 of 5, or on this page. Any suit, dispute, or litigation by any party hereto enforce any provision hereof, or for damages for the breach of any provision hereof, shall be commenced and maintained exclusively in the Superior Court, County of Los Angeles, State of California.
Counterparts, facsimile/email: This agreement may be executed in counterparts and each such counterpart shall be deemed an original executed agreement, and facsimile and/or email copies shall be deemed to be the originals.
No exhibitor booth assignment will be made if this agreement is not signed and returned on or before July 8th, 2022.
